1What SoftUplift is
SoftUplift is a marketplace. Buyers and suppliers deal with each other; we provide the venue, the messaging, and — where offered — the payment and escrow mechanism. We are not the seller of anything listed here, and we are not party to the contract between a buyer and a supplier.
2Accounts
You must give accurate details and keep your credentials secure. You are responsible for what happens under your account. You must be old enough to enter a contract in your jurisdiction, and if you act for a business you must be authorised to bind it.
We may suspend an account that we reasonably believe is being used fraudulently, is impersonating someone, or is putting other users at risk. Where we can, we will tell you why.
3Verification, and its limits
Suppliers may be asked to verify their business, and individuals to verify their identity. Where a listing or supplier shows as verified, that means specified checks were completed at a point in time. It is not a guarantee of quality, solvency, or that a particular transaction will go well.
Do your own due diligence before committing significant money. Verification narrows risk; it does not remove it.
4Listings and content
You are responsible for what you publish, and it must be accurate, lawful, and yours to publish. You keep ownership of your content and grant us the licence needed to display it on the platform. We may remove content that breaches these terms or the law.
5Payments and escrow
Where a transaction is paid through the platform, funds may be held until the agreed release condition is met. The specific conditions, fees and timings are shown before you commit, and those shown at the point of purchase are the ones that apply. Payments are processed by a third-party provider under their own terms.
We do not offer credit, investment or insurance, and nothing on the platform is financial advice.
6Disputes between users
If a transaction goes wrong, raise it through the platform first. We may review the evidence held in the transaction record and decide how held funds are released. That decision is about the funds we hold; it does not decide the wider legal rights between you and the other party, and it does not stop you pursuing them.
7Prohibited use
Do not use SoftUplift to defraud anyone, to launder money, to trade anything you may not lawfully trade, to scrape the platform at scale, to probe or interfere with its security, or to harass another user.
8Our liability
We provide the platform with reasonable skill and care, but we do not promise it will be uninterrupted or error-free. We are not liable for the acts or omissions of another user, or for loss of profit, business or opportunity. Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.
If you are a consumer, your statutory rights are unaffected by these terms.
9Ending the agreement
You may close your account at any time. We may end or suspend your access for a material breach of these terms. Obligations that by their nature survive — payment for a completed transaction, and the dispute process for it — continue after closure.
10Changes to these terms
We may update these terms. Where a change materially affects you we will give notice before it takes effect. Continuing to use the platform after that means you accept the change.
11Governing law
